InSight Health Services of Lake Forest, CA, will buy 22 diagnostic imaging centers owned by Cardinal Health of Dublin, OH, under an agreement signed by the companies last week.
The Cardinal centers are part of the company's Comprehensive Medical Imaging subsidiary, which it acquired as part of its purchase of Syncor International in 2002. This is the second deal between InSight and Cardinal for CMI centers: InSight purchased 13 CMI centers in Southern California in 2003.
The centers in this most recent deal are located in California, Arizona, Texas, Kansas, Pennsylvania and Virginia. InSight will pay approximately $48.3 million for the centers, an amount that includes approximately $35.6 million to be paid to Cardinal and $12.7 million for the payment of debt and transaction costs. The deal should be completed by March 31.
