TriZetto to buy QCSI

Application service provider (ASP) technology developer TriZetto Group has inked a deal to acquire healthcare payor IT firm Quality Care Solutions (QCSI) for $133 million in cash and the assumption of $1.2 million in debt.

TriZetto may also pay, contingent on certain factors, an additional $12 million in January 2008, including a $7 million earn-out and a $5 million hold-back. TriZetto said it intends to finance a portion of the purchase price with proceeds from an additional credit facility.

TriZetto said it will continue the Phoenix-based firm's QNXT software system alongside its existing enterprise administration offerings. The deal is subject to regulatory approval and other customary closing conditions, and is expected to close during the fourth quarter of 2006.
