Radiology information systems firm Sunquest Information Systems has signed a definitive agreement to be acquired by Roper Industries in an all-cash transaction valued at $1.415 billion, including $25 million in cash tax benefits.
Sunquest provides clinical and anatomic laboratory software to more than 1,700 hospitals worldwide, according to Roper. The firm is owned by a group of investors after a 2010 recapitalization, led by Huntsman Gay Global Capital, in partnership with Vista Equity Partners, which has owned the company since 2007.
Roper expects the acquisition to generate $140 million or more of earnings before interest, taxes, depreciation, and amortization (EBITDA) in 2013, excluding Sunquest's deferred revenue. The transaction is expected to be completed within the next 30 days, subject to regulatory review, approvals, and other closing conditions.
