In response to a court order, PACS vendor Amicas of Boston will postpone a shareholder vote on its pending merger agreement with equity firm Thoma Bravo.
Amicas said it would convene and then immediately adjourn today's scheduled special shareholder meeting to vote on the proposed $217 million deal. The Suffolk County Superior Court in Boston ordered the meeting to be adjourned pending a full hearing concerning the adequacy of the company's disclosures in its proxy statement.
Amicas said it's evaluating what, if any, updates to the proxy statement are required. The shareholder meeting will be reconvened on March 4 or at a later date, if ordered by the court, Amicas said.
Amicas' board of directors continues to unanimously support the merger.
