Change Healthcare has disclosed that the U.S. Department of Justice (DOJ) is requesting additional information about the company's deal to be acquired by UnitedHealth Group.
In a March 24 filing with the U.S. Securities and Exchange Commission, Change and UnitedHealth received a request for additional information and documentary materials from the DOJ as part of its review of the deal. The companies previously had filed paperwork with the DOJ and the U.S. Federal Trade Commission in January under terms of the Hart-Scott-Rodino antitrust legislation.
Change and UnitedHealth announced the acquisition in January, in which UnitedHealth agreed to buy Change for $13 billion. The companies said that Change would be integrated into UnitedHealth's OptumInsight business and offer healthcare software and data analytics, technology services, and research, advisory, and revenue cycle management products.
In its March 24 filing, Change said that the DOJ action would extend the waiting period required by the Hart-Scott-Rodino Act until the 30th day after Change and UnitedHealth are able to respond to the request. The companies said they "have been working cooperatively with the DOJ, and will continue to do so."
