Siemens plans to put a shareholder vote on the direct spin-off of Siemens Healthineers shares on the agenda for its next annual general meeting in February 2027.
Under the plan for the deal, Siemens AG shareholders would receive Siemens Healthineers AG shares directly as part of the spin-off under the German Transformation Act, the company said.
The announcement follows progress in preparation of the transaction since it was first outlined in November 2025, according to Siemens. Final regulatory confirmation remains outstanding, the firm noted.
The company initially announced its plans to spin-off Siemens Healthineers in 2016.
