Agfa HealthCare has completed its acquisition of German healthcare informatics developer GWI, following regulatory approval from German and Austrian antitrust authorities.
GWI, headquartered in Bonn, Germany, develops and markets administrative and clinical IT solutions for hospitals through its Orbis product suite. The company's customer base comprises more than 2,000 medical sites in Germany, Austria, Switzerland, and France, according to Agfa.
The transaction price consists of an up-front payment of 256.5 million euros ($350.8 million U.S.) to be settled at closing. In addition, an earn-out of up to 95 million euros ($125.5 million) will be paid if specific commercial milestones are achieved, which is expected to occur at the latest in 2008, Agfa said.
