Intermagnetics settles lawsuits, sets merger vote

Intermagnetics General has set a date of September 26 for its shareholders to vote on the acquisition of the Latham, NY, MRI components provider by Philips Medical Systems of Andover, MA.

Intermagnetics also reached an agreement in principle to settle two putative class-action lawsuits that challenged the acquisition and related transactions. Completion of the $1.3 billion deal is subject to shareholder approval, European regulatory approval, and conditions and terms of the agreement. The deal is expected to close during the fourth quarter of this year.
